As Managers of Private Placements of Debt or Equity we will be involved from structuring to financial closure. The relevant functions involved in this process include,

  1. Advising the issuer in connection with determining a suitable offer price (equity), interest rate (debt), quantity of shares/debentures to be issued, and total quantum of funds to be raised.

  2. Preparing the Private Placement Memorandum and Applications.

  3. Obtaining required approvals for the Issue.

  4. Obtaining commitments for subscription from institutional investors and high net worth individuals.

  5. Advising the issuer on the basis of allotment (if oversubscribed).

The benefits to the issuer include a diversification of the ownership structure of the company in the case of an issue of equity, balance sheet restructuring, and  raising of funds for various projects of the company in the case of both equity and debt issues, and providing a useful first step in the transition to a public listed company in the case of an issue of equity.
